Following the amendments to the Turkish Commercial Code No. 6102 (“TCC”), the minimum capital requirements applicable to joint stock and limited liability companies have been increased.
Accordingly, the applicable minimum capital amounts are:
Pursuant to Provisional Article 15 of the TCC, joint stock and limited liability companies whose capital remains below the applicable minimum thresholds are required to increase their capital to the relevant minimum amount by 31 December 2026 at the latest.
Joint stock and limited liability companies that fail to complete the required capital increase within this period will be deemed dissolved by operation of law.
Furthermore, non-public joint stock companies that have adopted the registered capital system and whose issued capital is at least TRY 250,000 will be deemed to have exited the registered capital system if they fail to increase both their initial and issued capital to TRY 500,000 by 31 December 2026.
Companies are therefore advised to review their current capital structures and complete the necessary capital increase and trade registry procedures within the prescribed period.
